Terms and Conditions
These Terms and Conditions constitute a legal agreement between you and Hà Giang Mist. By using our services, you enter into a binding contract with us and agree to comply with all terms outlined in this document.
These terms establish the framework for our relationship, define your rights and obligations, and explain the limitations of our liability. Please read them thoroughly before engaging with our services.

1. Binding Nature of Agreement
By accessing our website, submitting inquiries, or engaging our services, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions, along with our Privacy Policy and any additional terms specific to particular services.
If you do not agree with any provision of these terms, you must immediately cease using our website and services. Your continued use constitutes acceptance of these terms as they may be modified from time to time.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms, in which case the terms "you" and "your" will refer to that entity.
2. User Obligations and Responsibilities
2.1 Legal Compliance
You agree to comply with all applicable laws, regulations, and ordinances in your jurisdiction and in Vietnam, including but not limited to:
- Import and export regulations governing tea products
- Travel and visa requirements for Vietnam
- Business licensing and registration requirements
- Tax obligations in your home country and Vietnam
- Intellectual property laws
- Data protection and privacy regulations
2.2 Conduct Requirements
You are expected to conduct yourself professionally and respectfully when engaging with our services. This includes:
- Treating our staff, partners, and tea-growing communities with dignity and respect
- Following cultural guidelines and local customs in Vietnamese communities
- Providing honest and accurate information in all communications
- Honoring commitments and agreements made with us and our partners
- Acting in good faith in all business dealings
2.3 Content and Information Guidelines
When providing content or information to us, you must ensure that:
- All information you submit is accurate, complete, and not misleading
- You have the right to share any content you provide
- Your content does not violate any third-party rights
- You do not submit defamatory, offensive, or inappropriate material
- You comply with applicable data protection regulations
2.4 Age Restrictions and Requirements
Our services are intended for individuals who are at least 18 years of age or the age of majority in their jurisdiction, whichever is higher. By using our services, you represent and warrant that you meet these age requirements. Minors may only participate in our expedition services when accompanied by a parent or legal guardian who accepts full responsibility.
3. Indemnification
You agree to indemnify, defend, and hold harmless Hà Giang Mist, its officers, employees, partners, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms and Conditions
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights, including intellectual property, privacy, or cultural rights
- Any content or information you submit to us
- Your misuse of our services or website
- Your actions during expeditions or visits to tea-growing communities
This indemnification obligation will survive the termination of your relationship with us and your use of our services.
4. Disclaimers and Limitations of Liability
4.1 Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding the accuracy, reliability, or completeness of information provided
- Warranties that our services will be uninterrupted, secure, or error-free
- Warranties regarding specific outcomes or results from using our services
4.2 Limitation of Liability
To the maximum extent permitted by applicable law, Hà Giang Mist shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, use, or goodwill
- Business interruption or other intangible losses
- Damages resulting from your use or inability to use our services
- Damages resulting from third-party conduct or content
Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us for the specific service giving rise to the claim, or one hundred US dollars (USD 100), whichever is greater.
4.3 Consequential Damages Exclusion
Under no circumstances shall we be liable for any loss of profits, loss of business opportunity, loss of data, or any other consequential, incidental, or punitive damages, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
4.4 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, weather conditions, government actions, wars, civil unrest, labor disputes, pandemics, or failures of third-party services or infrastructure. In such events, we will make reasonable efforts to notify you and minimize disruption.
5. Dispute Resolution and Governing Law
5.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions. You agree to submit to the jurisdiction of the courts located in Hanoi, Vietnam for the resolution of any disputes.
5.2 Dispute Resolution Procedures
In the event of any dispute, controversy, or claim arising from or relating to these terms or our services, you agree to the following procedures:
- Informal Resolution: First, contact us to attempt to resolve the issue informally through good-faith negotiation
- Mediation: If informal resolution fails, the parties agree to attempt mediation before pursuing formal legal action
- Litigation: If mediation is unsuccessful, disputes shall be resolved through litigation in the appropriate courts of Vietnam
5.3 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
6. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these terms. The remaining provisions shall continue in full force and effect.
7. Modification of Terms
We reserve the right to modify these Terms and Conditions at any time. When we make material changes, we will:
- Update the "Effective date" at the top of this document
- Post the revised terms on our website
- For significant changes, provide notice via email or prominent website notification
Your continued use of our services after such modifications constitutes your acceptance of the updated terms. If you do not agree with the modified terms, you must discontinue use of our services.
8. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any additional terms specific to particular services, constitute the entire agreement between you and Hà Giang Mist regarding your use of our services. They supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, regarding the subject matter herein.
